Supplemental Terms for TEAMS Orders and Team Stores

These Supplemental Terms for TEAMS Orders and Team Stores (the “TEAMS Supplemental Terms”), together with the FIGS Terms of Use (collectively, the “FIGS Agreement”), govern your purchase of any TEAMS Orders (as defined below) and your use of, and purchase through, a Team Store (as defined below). Capitalized terms used in these TEAMS Supplemental Terms but not otherwise defined herein will have the meaning given to them elsewhere in the FIGS Agreement.

TEAMS Order Process. Hospitals, private practices, universities, businesses or other large groups (each, an “Organization”) may place a special bulk order of any Product(s) (such order, a “TEAMS Order”). As part of any TEAMS Order, Organizations may request certain custom logo embroidery for the purchased Product(s) (the “Customer Embroidered Products”). To begin the TEAMS Order process, a representative from the Organization (the “Administrator”) must create an account on the FIGS Teams portal on behalf of the Organization, whereby invitations may be sent to other members of the Organization to place their own orders, or contribute to a TEAMS Order, through a portal.  When the Administrator places a TEAMS Order on behalf of other Organization members, Administrator acknowledges and agrees that he or she is the point of contact for the TEAMS Order, and as such, represents and warrants that he or she has all right, title, and authority to enter into the FIGS Agreement on behalf of the Organization and to bind the Organization to the terms hereof, as well as the necessary permissions from each Organization member taking part in the TEAMS Order to provide personal information related to the TEAMS Order (e.g., name, email address, mailing address, sizing, etc.). Team Store Process. Through the Site, an Administrator may also create a custom portal on the Site through which other Organization members can order Product(s) (each such portal, a “Team Store”). As part of the Team Store creation process, Organizations may request certain Product(s), including Customer Embroidered Products, be available for purchase in the Team Store. To begin the Team Store setup process, an Administrator must create a Team Store account on the Site on behalf of the Organization.  When the Administrator establishes a Team Store on behalf of other Organization members, Administrator acknowledges and agrees that he or she is the point of contact for the Team Store, and as such, represents and warrants that he or she has all right, title, and authority to enter into the FIGS Agreement on behalf of the Organization and to bind the Organization to the terms hereof.  If you have any questions regarding Team Stores, please contact FIGS at teams@wearfigs.com

Trademark License. As applicable, Organization grants to FIGS the non-exclusive, non-transferable, sublicenseable (to manufacturers), right and license to use the trademarks, trade names, service marks, logos, graphics, designs and other commercial symbols delivered by the Organization (“Organization Marks”) for the purpose of manufacturing, producing, and embroidering the Customer Embroidered Products identified in each TEAMS Order, made available in a Team Store and/or otherwise as necessary to fulfill each TEAMS Order.

Representations and Warranties. Administrator represents and warrants: (i) that he or she has the authority and/or right to grant FIGS a license to use the Organization Marks for the Custom Embroidery Services; and (ii) that the Organization Marks and the authorized use thereof by FIGS as set forth herein will not violate or infringe the trademark rights of any third party.

Indemnification. Team agrees to indemnify, defend and hold harmless the FIGS Parties from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' or legal fees and court costs) that such parties may incur as a result of or arising from any allegation that the Organization Marks and/or FIGS’ use of the Organization Marks as authorized herein, infringes or misappropriates a third party’s intellectual property or proprietary rights.

Restrictions on Resale. To protect the intellectual property rights of FIGS and its licensors and suppliers, any resale of Products for personal and/or business profit is strictly prohibited. FIGS reserves the right to decline any order that we deem to possess characteristics of reselling.
