Supplemental Terms for Team Orders

These Supplemental Terms for Team Orders (the “Team Order Supplemental Terms”), together with the FIGS Terms of Use (collectively, the “FIGS Agreement”), govern your purchase of any Team Orders (as defined below). Capitalized terms used in these Team Orders Supplemental Terms but not otherwise defined herein will have the meaning given to them elsewhere in the FIGS Agreement.

Team Order Process. Hospitals, private practices, universities, businesses or other large groups (each, a “Team”) may place a special order of any Product(s) (such order, a “Team Order”). As part of any Team Order, Teams may request certain custom logo embroidery for the purchased Product(s) (the “Customer Embroidered Products”). To begin the Team Order process, a representative from the Team (the “Administrator”) must create a Team account on the FIGS Teams portal on behalf of the Team, whereby invitations may be sent to other members of the Team to place their own orders through such Team portal. However, when the Administrator places a Team Order on behalf of other Team members, Administrator acknowledges and agrees that he or she is the point of contact for the Team Order, and as such, represents and warrants that he or she has all right, title, and authority to enter into the FIGS Agreement on behalf of the Team and to bind the Team to the terms hereof, as well as the necessary permissions from each Team member taking part in the Team Order to provide personal information related to the Team Order (e.g., name, email address, mailing address, sizing, etc.). Trademark License. As applicable, Team grants to FIGS the non-exclusive, non-transferable, sublicenseable (to manufacturers), right and license to use the trademarks, trade names, service marks, logos, graphics, designs and other commercial symbols delivered by the Team (“Team Marks”) for the purpose of manufacturing, producing, and embroidering the Customer Embroidered Products identified in each Team Order and/or otherwise as necessary to fulfill each Team Order.

Representations and Warranties. Administrator represents and warrants: (i) that he or she has the authority and/or right to grant FIGS a license to use the Team Marks for the Custom Embroidery Services; and (ii) that the Team Marks and the authorized use thereof by FIGS as set forth herein will not violate or infringe the trademark rights of any third party.

Indemnification. Team agrees to indemnify, defend and hold harmless the FIGS Parties from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' or legal fees and court costs) that such parties may incur as a result of or arising from any allegation that the Team Marks and/or FIGS’ use of the Team Marks as authorized herein, infringes or misappropriates a third party’s intellectual property or proprietary rights.

Restrictions on Resale. To protect the intellectual property rights of FIGS and its licensors and suppliers, any resale of Products for personal and/or business profit is strictly prohibited. FIGS reserves the right to decline any order that we deem to possess characteristics of reselling.
